Terms of Service

Padni is operated by Adam Cieslak-Jones, a UK sole trader trading as Padni. These Terms govern your use of the Padni mobile apps, web app, and connected services (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. What Padni provides

Padni is an AI-assisted productivity service for conversations, tasks, projects, reminders, workflows, calendars, selected email actions, and related life admin. Features can change as the Service develops.

2. Accounts and security

You must provide accurate account information, keep your credentials secure, and tell Padni support if you believe your account has been compromised. You are responsible for activity performed through your account unless caused by Padni's failure to use reasonable safeguards.

3. AI and automated actions

Padni can make mistakes. Review important dates, recipients, bookings, financial information, and other consequential details before relying on them.

Padni is not an emergency service and does not provide medical, legal, financial, or other regulated professional advice. Connected-service actions are performed from your instructions and available context, but provider outages, ambiguous language, or model errors can produce an unexpected result.

4. Connected services

You may authorise Padni to access third-party services such as Google or Microsoft. Your use of those services remains subject to their terms. You can disconnect an integration in Settings, although previously created events or completed actions remain with the third-party service.

5. Your content

You retain ownership of content you provide. You give Padni a limited permission to host, process, reproduce, and transform that content only as needed to provide, secure, and improve the Service. You confirm that you have the right to provide the content and instruct Padni to process it.

6. Acceptable use

You must not misuse the Service, interfere with its operation, attempt unauthorised access, evade security controls, distribute malware, infringe others' rights, or use Padni to facilitate unlawful or seriously harmful activity.

7. Availability and changes

Padni aims to be reliable but does not promise uninterrupted or error-free operation. Features may be changed, suspended, or withdrawn for maintenance, security, legal, or product reasons. Where practical, reasonable notice will be provided for material changes.

8. Trials, subscriptions, and recurring payments

Where paid access is offered, the checkout screen identifies the price, currency, billing interval, renewal terms, purchase provider, and any trial or promotion before you confirm. Web, Apple App Store, and Google Play prices can differ because their fees, taxes, and regional price points differ. A verified subscription unlocks the same Padni account across supported clients.

Padni's initial no-card trial is limited by both time and estimated service cost. Current limits are shown in the Service and may be changed for future trials. The cost allowance is a safety limit, not a metered customer charge. Unless a checkout says otherwise, a paid subscription renews monthly until cancelled through the provider that sold it.

You can cancel at any time through the relevant provider and retain paid access until the verified end of the current billing period. Failed or disputed payments can move the account to read-only mode immediately while the provider handles recovery. Padni does not provide discretionary prorated refunds, but provider rules, mandatory consumer rights, and genuine billing corrections still apply.

Promotional and referral benefits are subject to the eligibility, duration, expiry, and reversal terms shown when used. Fraud, self-referral, refund, or dispute can invalidate an unused benefit. A complimentary grant can be reviewed or revoked according to its stated terms.

9. Read-only access, suspension, and termination

When a trial or paid entitlement ends, Padni may keep your account available in read-only mode. You can still view existing data, manage or restore billing, export data, disconnect integrations, and delete the account, but new AI work, automated workflows, notifications, games, and content changes can be paused until access is restored.

You may stop using Padni or delete your account at any time. Account deletion does not cancel a subscription managed by its purchase provider; cancel it with Stripe, the App Store, or Google Play first if you do not want future renewals. Padni may restrict or terminate access where reasonably necessary to address security risk, fraud, unlawful activity, serious misuse, non-payment, a provider refund or dispute, or a material breach of these Terms. Inactive accounts may be handled separately as described in the Privacy Policy.

10. Liability

Nothing in these Terms excludes liability that cannot legally be excluded. To the extent permitted by law, Padni is not liable for indirect or consequential loss, loss caused by inaccurate AI output that you could reasonably have checked, or failures of third-party services outside Padni's reasonable control. Consumer rights that apply to you are not affected.

11. Governing terms

These Terms are governed by the laws of England and Wales, without removing any mandatory consumer protection you receive under the law where you live. If a provision is unenforceable, the remaining provisions continue to apply.

12. Changes and contact

These Terms may be updated as Padni changes. Material updates will be communicated through the Service or this page. Questions can be raised through the Support page or by emailing accounts@padni.ai.
